ZERO BRAZILIAN JIU-JITSU PARTICIPANT WAIVER AND RELEASE OF LIABILITY,

ASSUMPTION OF RISK AND INDEMNITY AGREEMENT

For and in consideration of the undersigned participant's (“Participant”) registration with Zero Brazilian Jiu-Jitsu ("Zero") and being allowed to participate in Zero events and member activities, Participant and the Participant's parent(s) or legal guardian(s) waive, release and relinquish any and all claims for liability and cause(s) of action, including for personal injury, property damage or wrongful death occurring to Participant, arising out of participation in Zero events, member activities, the sport of Brazilian Jiu-Jitsu, and/or activities incidental thereto, whenever or however they occur and for such period said activities may continue, and by this agreement any such claims, rights, and causes of action that Participant (and Participant's parent(s) or legal guardian(s)) may have are hereby waived, released and relinquished, and Participant (and parent(s)/guardian(s)) does(do) so on behalf of my/our and Participant's heirs, executors, administrators and assigns.

Participant acknowledges, understands and assumes all risks relating to Brazilian Jiu-Jitsu activities and understands that Brazilian Jiu-Jitsu involves risks to Participant's person including bodily injury, partial or total disability, paralysis and death, and damages which may arise therefrom and that I/we have full knowledge of said risks. These risks and dangers may be caused by the negligence of the participant or the negligence of others, or by accident. These risks and dangers include, but are not limited to, those arising from participating with bigger, stronger and faster participants.

Participant agrees if any claim for participant's personal injury or wrongful death is commenced against Zero he/she shall defend, indemnify and save harmless Zero from any and all claims or causes of action by whomever or wherever made or presented for participant's personal injuries, property damage or wrongful death.

Participant agree to the extent legally possible to not sue or bring a civil action against Zero or any of the persons or affiliates for any claims, costs, liabilities, that I have waived, released or discharged herein.

Participant acknowledges that they have been provided and have read the above paragraphs and have not relied upon any representations of Zero. Participant understands it is a release of all claims. Participant has read this document in its entirety. Participant has had a chance to review this with an attorney, and if has not consulted with an attorney here by waives any claim for not reviewing said waiver with an attorney.

Participant has been informed of and acknowledge that participation in any activities, including the use of equipment, is a potentially hazardous activity.

Participation can be life threatening as this activity is a contact and endurance sport, and can be an extreme test of a person’s physical and mental limits. Such training and participation poses potential risk of serious bodily injury or death, or property damage.

Participant (or Parent or Legal Guardian of Participant) hereby attest that Participant is in good health and suffer no condition, disability, impairment, disease, infirmity, or other illness that would prevent participation in these activities or use of equipment or machinery. I acknowledge that I have been informed of the need for a physician’s approval for my participation in the fitness activities. I attest that my physical condition has been verified by a licensed medical doctor.

GENERAL PHOTO RELEASE

I hereby grant Zero Brazilian Jiu Jitsu, Inc., its representatives, affiliates, and assigns (collectively, the “Company”) an absolute and perpetual right to take photographs and videos of the minor identified below (the “Minor”) on or about [DATE] and to use, reuse, publish, and republish such photographs and videos in connection with the Company’s print, online, social media, and video-based marketing materials (the “Content”). I consent to digital compositing or distortion of the Content, including any changes or alterations as to color, size, share, perspective, context, foreground, background, and any other changes made in the Company’s sole discretion. I waive any right that I (and/or the Minor) may have to inspect or approve any Content.

I hereby release and hold harmless the Company from any expectation of privacy, publicity, or confidentiality that the Minor may have with respect to the Company’s use of the Minor’s name, image, voice, and/or likeness in connection with the creation and/or publication of the Content. I further acknowledge and agree that the Minor’s participation is voluntary and that neither I nor the Minor will receive financial compensation of any type in connection with the Content. Further, I acknowledge and agree that use of the Minor’s name, image, voice, and/or likeness in connection with the Content does not confer on me or the Minor any intellectual property right, ownership right, or right to royalties whatsoever.

I hereby release the Company, its contractors, directors, managers, officers, employees, and any third parties involved in the creation and/or publication of the Content from any and all liability for any and all claims made by me, the Minor, and/or any third-party in connection with the creation and/or publication of such Content.

I hereby represent and warrant that I am a legally competent adult, and a parent (or legally appointed guardian) of the Minor, and that I have every right to contract for the Minor with respect to the subject matter covered herein. I have read the entirety of this release prior to its execution, and I am fully familiar with its contents. This release shall be binding upon the Minor and me, and our respective heirs, representatives, and assigns.
